1. Acceptance of Terms

By creating an account, submitting content, licensing videos, or subscribing to our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these terms, you may not access or use ViralID.

2. User Accounts

2.1 Account Creation

• You must be at least 18 years old to create an account
• You must provide accurate, complete, and current information
• You are responsible for maintaining the security of your account credentials
• You agree to notify us immediately of any unauthorized access

2.2 Account Types

Creator Accounts: For individuals submitting video content

Buyer Accounts: For businesses and individuals licensing content

3. Content Submission (For Creators)

3.1 Ownership and Rights

By submitting content to ViralID, you represent and warrant that:

• You own all rights to the submitted video or have obtained necessary permissions
• The content does not infringe on any third-party intellectual property rights
• The content does not violate any laws or regulations
• You have the legal right to transfer full ownership and all rights to ViralID

3.2 Content Guidelines

Submitted content must not contain:

• Illegal, harmful, threatening, or abusive material
• Sexually explicit, obscene, or pornographic content
• Content that promotes violence, discrimination, or hate speech
• Personal information of others without consent
• Copyrighted material without proper authorization

3.3 Monetization Options

Revenue Share (50/50):

• ViralID obtains full ownership and all rights to your content upon submission
• You receive 50% of all revenue generated from the content
• Revenue is split equally (50% creator, 50% ViralID)
• Payments processed monthly with $100 minimum threshold

Direct Sale:

• ViralID may make an offer to purchase full rights to your content
• Upon acceptance and payment, all rights transfer to ViralID
• You receive a one-time payment within 7 business days
• You forfeit all future revenue from the content

3.4 Technical Requirements

• Accepted formats: MP4, MOV, AVI, WEBM
• Maximum file size: 500MB
• Maximum duration: 10 minutes
• Recommended minimum resolution: 1080p (1920x1080)
• All uploads undergo automatic virus/malware scanning
• Videos are hosted on Vimeo with watermarked previews
• Unwatermarked downloads available only after licensing or subscription

4. Licensing (For Buyers)

4.1 License Grant

Upon approval and payment, you are granted a non-exclusive, non-transferable license to use the licensed video content in accordance with the terms of your specific license agreement.

4.2 License Restrictions

Unless explicitly permitted in your license agreement, you may NOT:

• Claim ownership or authorship of the licensed content
• Sublicense, sell, or distribute the content to third parties
• Use content beyond the licensed duration or territory
• Remove watermarks or attribution (where required)
• Create derivative works for commercial resale

4.3 Subscription Access

• Subscriptions grant access to download videos during the active subscription period
• Must save a payment method before subscribing
• Three tiers available: Basic, Standard, and Premium with varying download limits
• Downloaded content remains licensed for the originally intended use
• Upon cancellation, you must stop using videos in new projects
• 14-day money-back guarantee for first-time subscribers
• Automatic recurring billing via Stripe
• Download tracking enforced for security and compliance

5. Payments and Fees

5.1 Creator Payments

• Revenue Share payments processed monthly within 10 business days of month-end
• Minimum payout threshold: $100 USD
• Direct Sale payments processed within 7 business days of offer acceptance
• Payment methods: PayPal, bank transfer (ACH/Wire)

5.2 Buyer Payments

• All fees are in USD unless otherwise stated
• Payment processing via Stripe (secure, PCI-compliant)
• 3D Secure authentication for enhanced security
• Save payment methods securely for future purchases
• Subscriptions billed monthly in advance via recurring billing
• Single license fees due upon admin approval before download
• 14-day money-back guarantee for first-time subscribers
• You are responsible for all applicable taxes

6. Intellectual Property

ViralID, our logo, trademarks, and platform design are owned by us and protected by copyright, trademark, and other intellectual property laws. All user-submitted content becomes the exclusive property of ViralID upon submission, with full ownership and rights transferred to ViralID.

7. Prohibited Activities

You agree NOT to:

• Submit false, misleading, or fraudulent content
• Attempt to circumvent content protection measures (watermarks, DRM)
• Use automated systems (bots, scrapers) without permission
• Interfere with platform security or functionality
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations

8. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraud, or any conduct we deem harmful to ViralID or other users. Upon termination:

• Your access to the platform will be immediately revoked
• Outstanding payments may be withheld pending investigation
• License agreements remain valid for their original terms
• You must cease all use of ViralID branding and materials

9. Disclaimers and Limitation of Liability

ViralID IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, FREEDOM FROM ERRORS, OR SPECIFIC RESULTS FROM USING OUR PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ViralID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

10. Changes to Terms

We may update these Terms of Service at any time. Material changes will be communicated via email and/or platform notification. Continued use of ViralID after changes constitutes acceptance of the updated terms.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the ViralID platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where prohibited by applicable law.
